Welcome to ittisaal™. These Terms of Service ("Terms", "Agreement") govern your access to and use of the website [https://ittisaal.pk], the software-as-a-service (SaaS) platform, APIs, and associated tools (collectively, the "Platform" or "Service") provided by Silah Technologies (SMC-Private) Limited ("Company", "we", "us", or "our").

By creating an account, accessing, or using ittisaal™, you ("Customer", "User", "you") agree to be legally bound by these Terms. If you are entering into this Agreement on behalf of a business entity, you represent that you have the authority to bind such entity to these Terms.

1. Description of Service

ittisaal™ is a software-as-a-service platform that provides conversational messaging, workflow automation, and customer interaction tools. The Platform integrates with third-party messaging protocols, including the Meta WhatsApp Business API, to allow businesses to engage with end consumers.

2. Account Registration & Responsibilities

We use the collected data solely for business operations and service delivery, including:

  • Account Creation: You must register an account with accurate, complete, and current business information.
  • Credential Security: You are responsible for maintaining the confidentiality of your login credentials and API keys. All activities occurring under your account are your sole responsibility.
  • Unauthorized Access: You must notify us immediately at support@ittisaal.pk if you suspect any security breach or unauthorized use of your account.

3. Acceptable Use Policy & Spam Compliance

ittisaal™ maintains a zero-tolerance policy for unsolicited bulk messaging (spam), harassment, and illegal marketing activities. You agree NOT to use the Platform to:

  • Send unsolicited commercial communications (spam) without receiving prior explicit, documented consent from recipient end-users.
  • Violate Meta's WhatsApp Business Policies, Commerce Policies, or Telecommunication laws in Pakistan or recipient jurisdictions.
  • Route fraudulent, deceptive, offensive, adult, or illegal content.
  • Attempt to reverse-engineer, decompile, hack, or disrupt the integrity or performance of the Platform.
  • Fail to honor opt-out requests (e.g., "STOP" or "Unsubscribe") from end-users in real time.

Violation Enforcement: Failure to adhere to the Acceptable Use Policy may result in immediate suspension or termination of your account without a refund.

4. Third-Party Services & API Dependencies

  • Meta & Telecom Networks: Our Platform depends on third-party infrastructure, including Meta Platforms, Inc. (WhatsApp Cloud API) and mobile network operators. You acknowledge that we do not control third-party network uptimes, API policy changes, or messaging delivery delays caused by external carriers.
  • Compliance with External Terms:You agree to abide by Meta's WhatsApp Business Terms and relevant third-party policy guidelines when connecting third-party messaging channels to ittisaal™.

5. Subscription Fees & Payment Terms

  • Billing:Access to ittisaal™ is provided on a subscription or pay-as-you-go basis. You agree to pay all applicable platform fees, subscription rates, and messaging usage charges as outlined in your selected plan.
  • Third-Party Messaging Costs: Meta conversation fees throughput rates are billed either through your direct payment portal or passed through as usage charges according to current regional rates.
  • Non-Refundable: All platform subscription fees are non-refundable, except where explicitly required by applicable law.
  • Late Payments: Failure to pay subscription fees when due may result in immediate suspension of API routing and platform access.

6. Intellectual Property Rights

  • Platform Ownership:Silah Technologies (SMC-Private) Limited retains all rights, title, and interest in and to the ittisaal™ Platform, including software code, source files, platform architecture, user interfaces, branding, and registered trademarks (ittisaal™).
  • Customer Data Ownership: You retain full ownership of your customer lists, conversation text, and business assets uploaded to the Platform. You grant us a limited, non-exclusive license to process, store, and transmit your data solely for the purpose of operating the Platform.

7. Limitation of Liability & Warranty Disclaimer

  • "AS IS" Basis:The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
  • Liability Cap: To the maximum extent permitted by the laws of Pakistan, Silah Technologies (SMC-Private) Limited shall not be liable for any indirect, incidental, consequential, or punitive damages (including loss of business profits, data loss, or service interruption) arising out of your use or inability to use the Platform.
  • Maximum Financial Liability:Our total cumulative financial liability under this Agreement shall not exceed the total subscription fees paid by you to ittisaal™ in the three (3) months immediately preceding the event giving rise to the claim.

8. Term & Termination

  • Termination by You: You may cancel your subscription at any time via your account settings.
  • Termination by Us: We reserve the right to suspend or terminate your account immediately if you breach these Terms, engage in illegal marketing activities, or pose a security risk to our infrastructure or third-party networks.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Islamic Republic of Pakistan. Any dispute, controversy, or claim arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the civil courts located in Lahore, Pakistan.

10. Amendments to Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this page or via email/in-app notice. Continued use of the Platform after such changes constitutes acceptance of the modified Terms.
